PARTNERSHIP TAX RETURNS

Partnership and Multi-Member LLC Tax Returns (Form 1065)

EJP Tax & Advisory prepares Form 1065 for partnerships and LLCs with two or more members, the Schedule K-1 each partner needs, and the North Carolina D-403. A partnership reports the year's results and passes each partner's share through to their own return. For calendar-year partnerships, the 2026 federal return is due March 15, 2027.

An LLC with two or more members files as a partnership.

IRS Publication 3402 explains that an LLC with at least two members is classified as a partnership for federal income tax purposes and generally files Form 1065. It can elect to be taxed as a corporation with Form 8832, or as an S corporation with Form 2553.

Many LLC owners first learn this when a partner asks for a K-1. The state paperwork that formed the LLC does not answer the federal filing question.

Deadlines: March 15 federal, April 15 for North Carolina.

Form 1065 and each partner's Schedule K-1 are due by the 15th day of the third month after year end, Monday, March 15, 2027, for a calendar-year partnership, as IRS Publication 509 lays out. Form 7004 extends the federal return six months.

North Carolina's partnership return, Form D-403, is due on the 15th day of the fourth month, April 15, and the North Carolina K-1 goes to each partner by the same date. A federal extension also extends the state return when the partnership marks Federal Extension on the D-403; otherwise Form D-410P is due by the original date. An extension gives more time to file, not to pay.

Partners wait on the partnership.

Each partner reports a share of the income or loss from the K-1, so a late partnership return holds up every partner's individual return. If the partnership extends, partners should plan for their own return timing as well.

Bring the records the partnership return depends on.

  • Last year's Form 1065 and North Carolina D-403, and any notices since.
  • Year-end profit and loss statement and balance sheet.
  • Capital contributions and distributions for each partner.
  • Payments to partners for services.
  • Changes in ownership or partner percentages.
  • Purchases and sales of equipment, vehicles, or other business assets.

When the numbers raise a structure question, such as whether the business still fits a partnership, business consulting and tax planning reviews it before the next year closes.

COMMON QUESTIONS

Questions you may have.

Does a multi-member LLC file a partnership return?

Yes, by default. An LLC with two or more members is classified as a partnership and generally files Form 1065, unless it elects corporate or S corporation treatment.

When is the 2026 Form 1065 due?

Monday, March 15, 2027, for a calendar-year partnership, along with each partner's Schedule K-1. The North Carolina D-403 is due April 15.

Does a North Carolina extension follow the federal one?

Yes, if the partnership marks Federal Extension on the D-403. Without a federal extension, Form D-410P is due by the original due date.
